**Exculpatory Agreement**
**This Exculpatory Agreement (“Agreement”) is made and entered into as of the time of consultation, and between Mr/Mrs(“Client”) and ShopScrip Studio, an Abuja corporation with a principal place of business at Gwagwalada (“Company”).**
**WHEREAS,** the Client desires to engage the Company for services relating to website design and development (“Services”); and
**WHEREAS,** the Company is willing to provide such Services under certain terms and conditions, including limitations of liability;
**NOW, THEREFORE,** in consideration of the mutual promises and covenants set forth herein, the parties agree as follows:
1. **Scope of Services**
The Company agrees to provide the Client with website design and development services as detailed in the attached Exhibit A (“Scope of Work”).
2. **Acknowledge of Risks**
The Client acknowledges that the Services may involve certain risks, including but not limited to technical risks, risks of delays, and the potential for errors or omissions in the design or functionality of the website. The Client understands that these risks are inherent to the services provided.
3. **Limitation of Liability**
To the fullest extent permitted law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to this Agreement or the Services, even if the Company has been advised of the possibility of such damages. The Company’s total liability for any claims arising out of or relating to this Agreement shall not exceed the total amount paid the Client to the Company for the Services.
4. **Indemnification**
The Client agrees to indemnify, defend, and hold harmless the Company, its officers, directors, agents, employees, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with any breach of this Agreement the Client, or any claim related to the Client’s content or use of the Services.
5. **Governing Law**
This Agreement shall be governed and construed in accordance with the laws of the State of [State], without regard to its conflicts of law principles.
6. **Severability**
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted law.
7. **Entire Agreement**
This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, representations, or warranties, whether written or oral, relating to such subject matter.
8. **Refund Policy**
This agreement states that no refund will be made BY the Company(ShopScrip Studio) to a client(You) after the job has been attempted. However, the company reserves the right to either agree or disagree to settlement in the case that it is warranted. And no legal action can be taken or made pertaining to this.
9 **Liability Pertaining To Ownership**
Clients are liable for their websites and brokers. We do not provide interrogation or investigation into the use of the services we render. In the course that legal actions are in place against the website use, we(ShopScrip Studio) are completed exonerated BY law.
10. **Modification**
Any modification or amendment to this Agreement must be in writing and signed both parties.
**IN WITNESS WHEREOF,** the parties hereto have executed this Exculpatory Agreement as of the date of consultation.
